These Terms of Service (the "Terms") are an agreement between you and Mucker Capital Management, LLC ("Archyr", "we", "us") governing your use of the Archyr application and related services available at archyr.com (the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
Archyr is a deal intelligence and workflow platform for investment teams. The Service helps you organize deal activity, connect related information from sources you authorize, and automate parts of your team's workflow. We may add, change, or remove features of the Service over time.
You must be at least 18 years old to use the Service. You sign in using your Google account, and you are responsible for maintaining the security of your credentials and for all activity that occurs under your account. Notify us promptly at dev@muckercapital.com if you suspect unauthorized use of your account.
You retain all rights, title, and interest in the data you submit to the Service or authorize the Service to access, including data from connected Google services ("Customer Data"). You grant us a limited, non-exclusive license to host, process, transmit, and display Customer Data solely as necessary to provide and maintain the Service, consistent with our Privacy Policy. You are responsible for having the necessary rights and consents to submit Customer Data to the Service.

The Service integrates with third-party services you choose to connect, including Google services. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for third-party services. You may disconnect a third-party integration at any time, including by revoking access from your Google Account permissions page. Disconnecting an integration may limit features of the Service.
The Service includes features powered by artificial intelligence. AI-generated output may be inaccurate, incomplete, or out of date, and you should independently verify it before relying on it. The Service and its outputs are provided for informational and workflow purposes only and do not constitute investment, legal, tax, or accounting advice. You are solely responsible for decisions you make based on information from the Service.
The Service is currently provided at no charge. We may introduce fees in the future with reasonable prior notice.
The Service, including its software, design, and branding, is owned by Mucker Capital Management, LLC and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service are granted to you. The Archyr name and logo may not be used without our prior written permission.
If you provide suggestions or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARCHYR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify and hold harmless Archyr from and against claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.
These Terms apply for as long as you use the Service. You may stop using the Service at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we discontinue the Service, in which case we will use reasonable efforts to provide prior notice. Sections 4 and 9 through 15 survive termination. Upon termination, data deletion is handled as described in our Privacy Policy.
These Terms are governed by the laws of the State of California, without regard to conflict of laws principles. Any dispute arising out of these Terms or the Service will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction there.
We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
